1. Overview

These Terms of Service ("Terms") govern your access to and use of EasyMLS, including the EasyMLS website, software platform, user dashboard, listing tools, private MLS features, Charter MLS features, AI tools, listing import and export tools, APIs, support services, and related services.

By creating an account, accessing EasyMLS, using the platform, publishing a listing, distributing a listing, or using any EasyMLS service, you agree to these Terms.

If you do not agree to these Terms, you may not use EasyMLS.

EasyMLS may update these Terms from time to time. Your continued use of EasyMLS after updated Terms become effective means you accept the updated Terms.

2. What EasyMLS Does

EasyMLS is a software platform for boat, yacht, and charter listings.

EasyMLS allows users to:

All transactions, negotiations, agreements, commissions, payments, inspections, surveys, representations, warranties, and disputes occur directly between the relevant users or third parties.

3. Who Can Use EasyMLS

Any user may create an EasyMLS account, subject to these Terms and any platform rules, plan limits, verification requirements, or approval requirements established by EasyMLS.

EasyMLS does not require users to hold a broker, dealer, or professional license to create an account.

However, users are solely responsible for determining whether their own activities require any license, permit, authorization, registration, qualification, or approval under applicable law. EasyMLS does not verify licensing status and does not provide legal, brokerage, regulatory, tax, financial, or compliance advice.

EasyMLS may approve, reject, restrict, suspend, or terminate accounts at its discretion, including where EasyMLS believes an account creates legal, security, fraud, platform integrity, operational, reputational, or business risk.

4. Account Types, Plans, and Feature Access

EasyMLS may make different features available based on account type, subscription plan, payment status, verification status, approval status, user role, company permissions, or platform rules.

Not every user will have access to every feature.

EasyMLS may restrict, modify, suspend, or remove access to features including:

Private boat owners may access EasyMLS features if their plan permits it. Private boat owners may create, manage, and distribute their own listings through EasyMLS, subject to plan limits, verification requirements, and platform rules.

Private boat owners may access private MLS features if their subscription plan or account status permits it.

Third-party URL import tools may be restricted or unavailable to certain users, including private boat owners.

Companies may have multiple users under one company account. Company administrators may add, manage, restrict, or remove users from the company account, subject to EasyMLS platform rules.

You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. You must notify EasyMLS promptly if you suspect unauthorized access to your account.

5. Listings and User Authorization

EasyMLS currently supports listings for:

EasyMLS may add, remove, or modify supported listing categories at any time.

By creating, importing, publishing, distributing, exporting, or managing a listing through EasyMLS, you represent and warrant that:

EasyMLS does not verify ownership, authorization, listing accuracy, vessel condition, vessel availability, pricing, title, registration, liens, encumbrances, broker authority, seller authority, charter availability, or transaction details.

EasyMLS may remove, restrict, edit, disable, suspend, or refuse any listing that EasyMLS believes may be false, unauthorized, duplicated, misleading, outdated, incomplete, suspicious, unlawful, infringing, abusive, or inconsistent with these Terms or platform rules.

Listings do not automatically expire unless EasyMLS establishes a listing expiration rule, plan limitation, or platform policy.

6. Listing Edits, Formatting, and Distribution

You authorize EasyMLS to format, edit, adapt, resize, translate, modify, clean up, restructure, transmit, export, publish, distribute, update, or remove listing content as reasonably necessary to operate the platform, satisfy portal requirements, improve presentation, support listing distribution, comply with technical requirements, or maintain platform quality.

EasyMLS may make technical, formatting, translation, or content-cleanup changes to listings, but users remain solely responsible for reviewing listings and ensuring their accuracy.

EasyMLS is not responsible for errors, omissions, formatting issues, translation issues, inaccurate listing details, outdated information, or third-party portal display issues.

7. User Content License

You retain ownership of content you submit to EasyMLS, subject to the rights granted in these Terms.

When you submit, upload, import, publish, distribute, or otherwise provide content to EasyMLS, including listings, photos, videos, descriptions, vessel details, charter details, logos, documents, files, contact information, and other materials, you grant EasyMLS a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, copy, reproduce, display, publish, transmit, distribute, export, format, modify, adapt, translate, and otherwise use that content as needed to:

You represent that you have all rights necessary to grant this license.

8. EasyMLS Intellectual Property

EasyMLS and its licensors own all rights, title, and interest in and to the EasyMLS platform and related technology, including:

Except for the limited right to use EasyMLS under these Terms, no rights are transferred to you.

You may not copy, modify, reverse engineer, decompile, disassemble, scrape, reproduce, resell, sublicense, or create derivative works from EasyMLS or its technology except as expressly permitted by these Terms or by written permission from EasyMLS.

9. MLS, Charter MLS, and User Collaboration

EasyMLS may provide private MLS, Charter MLS, and collaboration features that allow users to view, manage, share, or interact with listing information.

Access to MLS or collaboration features may depend on your subscription plan, account type, payment status, verification status, approval status, and compliance with these Terms.

EasyMLS is not involved in:

All agreements and disputes between users are strictly between those users.

EasyMLS may restrict, suspend, or terminate MLS or collaboration access for misuse, suspected fraud, unauthorized listing activity, scraping, data harvesting, improper contact, listing manipulation, or other violations of these Terms.

10. Listing Ownership, Integrity, and Unauthorized Use

All listings remain under the control of the user, owner, broker, dealer, agent, or rights holder who created or authorized the listing.

Users may not, without proper authorization:

Users may share or present listings only where authorized by the listing owner, rights holder, platform rules, or applicable industry practice.

EasyMLS may remove listings, restrict access, suspend accounts, revoke verification status, or terminate users involved in unauthorized listing use, listing manipulation, data misuse, fraud, or platform abuse.

11. EasyMLS Verified

EasyMLS may offer a platform-level verification or reputation status called EasyMLS Verified.

EasyMLS Verified may be granted to users who provide required account, identity, business, contact, or platform information requested by EasyMLS.

EasyMLS Verified is a platform-level trust, verification, or reputation indicator only.

EasyMLS Verified is not:

EasyMLS may grant, deny, modify, suspend, or revoke EasyMLS Verified status at any time, with or without notice, if EasyMLS believes the user has failed to provide required information, violated these Terms, misused the platform, created legal or fraud risk, received credible complaints, or otherwise failed to meet EasyMLS standards.

Users may not misrepresent EasyMLS Verified status or imply that EasyMLS legally licenses, certifies, guarantees, endorses, or authorizes their professional activities.

EasyMLS may restrict access to certain features unless a user provides required information or maintains EasyMLS Verified status.

12. Third-Party Portal Distribution

EasyMLS may allow users to distribute, sync, update, export, or publish listings to third-party portals, MLS platforms, listing websites, APIs, data feeds, and other distribution channels.

Third-party portal access may require separate fees, approvals, subscriptions, technical setup, account credentials, or platform permissions.

Users may be able to choose which third-party portals or distribution channels their listings are sent to, subject to platform availability, plan limits, portal rules, and payment requirements.

Third-party portal fees are separate from EasyMLS subscription fees unless EasyMLS expressly states otherwise. Portal fees, pass-through fees, setup fees, integration fees, and distribution-related fees are non-refundable except where required by law.

EasyMLS does not control third-party portals or distribution channels.

EasyMLS does not guarantee that any third-party portal will:

Third-party portals may have their own terms, policies, fees, review standards, formatting rules, outages, delays, limitations, and removal practices.

EasyMLS is not responsible for errors, delays, outages, rejections, removals, formatting changes, policy changes, pricing changes, ranking decisions, visibility issues, or other acts or omissions of third-party portals or distribution channels.

EasyMLS may add, remove, suspend, replace, modify, or discontinue portal integrations at any time.

13. Listing Imports and Third-Party Sources

EasyMLS may offer tools that allow users to import listing data from third-party URLs, APIs, data feeds, uploaded files, PDFs, Excel files, CSV files, XML files, or other sources.

Import tools may be restricted based on account type, subscription plan, approval status, verification status, or platform rules.

By using any import feature, you represent and warrant that:

EasyMLS may log import-related activity, including source URLs, timestamps, user IDs, account IDs, IP addresses, imported content, authorization confirmations, and technical information.

EasyMLS may use import logs for security, abuse prevention, compliance, dispute resolution, takedown requests, fraud prevention, and enforcement.

EasyMLS may remove imported content, restrict imports, suspend listings, or suspend accounts if EasyMLS receives a credible complaint or believes imported content may be unauthorized, unlawful, infringing, misleading, or abusive.

14. AI Tools and AI Estimator

EasyMLS may offer AI-powered tools, including the EasyMLS AI Estimator and future AI features.

AI features may help with:

AI outputs are informational only.

AI outputs are not:

Users are solely responsible for reviewing, verifying, and approving AI outputs before relying on, publishing, sharing, distributing, or using them.

EasyMLS does not guarantee that AI outputs are accurate, complete, current, reliable, suitable, or error-free.

EasyMLS is not responsible for pricing decisions, listing decisions, transaction decisions, business decisions, negotiations, losses, or disputes based on AI-generated outputs.

EasyMLS may use AI inputs and outputs internally for platform operation, support, debugging, abuse prevention, analytics, safety, quality review, and product improvement.

EasyMLS may use anonymized or aggregated platform data to improve its products and services.

Based on current EasyMLS practices, customer and listing data submitted to AI features is not used to train third-party AI models.

EasyMLS may use third-party AI providers, including Anthropic, OpenAI, or other providers, to provide AI features.

AI features may be experimental, incomplete, unavailable, modified, or discontinued at any time.

15. Subscriptions, Payments, and Fees

Some EasyMLS features require a paid subscription.

Subscriptions may be offered monthly, annually, or through other billing periods made available by EasyMLS.

Subscriptions renew automatically unless canceled before renewal.

By purchasing a subscription or paid service, you authorize EasyMLS or its payment processor to charge applicable subscription fees, portal fees, setup fees, integration fees, pass-through fees, taxes, and other charges disclosed at checkout or in the platform.

EasyMLS may use third-party payment processors, including Stripe, to process payments.

EasyMLS does not intend to store full payment card numbers on its own systems.

Fees are non-refundable except where required by law.

EasyMLS is not obligated to provide refunds, credits, prorated refunds, or reimbursement for unused time, unused features, canceled listings, removed listings, portal issues, third-party outages, account suspension, or account termination.

Setup fees are non-refundable.

Third-party portal fees, pass-through fees, integration fees, and distribution-related fees are non-refundable except where required by law.

Users may cancel their subscription at any time. Unless EasyMLS states otherwise, cancellation takes effect at the end of the current paid billing period.

EasyMLS may suspend, restrict, or terminate access for failed payment, unpaid fees, chargebacks, payment disputes, expired payment methods, or billing issues.

EasyMLS may change pricing, fees, billing terms, subscription plans, plan limits, and paid features at any time. Pricing changes may apply at renewal, checkout, plan change, or as otherwise disclosed by EasyMLS.

16. Acceptable Use

You agree not to use EasyMLS to:

EasyMLS may investigate suspected violations and may remove content, restrict features, suspend accounts, terminate accounts, revoke EasyMLS Verified status, block access, or take other action at its discretion.

17. Privacy and Data Retention

Your use of EasyMLS is also governed by the EasyMLS Privacy Policy.

The Privacy Policy explains how EasyMLS collects, uses, shares, protects, and retains personal information.

By using EasyMLS, you acknowledge that EasyMLS may process information as described in the Privacy Policy.

If you delete your account or remove listings, EasyMLS may remove the information from active or public display, but EasyMLS may retain records, logs, backups, archives, billing records, support records, import logs, security records, and related information as reasonably necessary for:

Deleted listings may be removed from public or active display, but EasyMLS may retain archived copies or related records where reasonably necessary for the purposes above.

18. Platform Availability and Changes

EasyMLS aims to provide useful and reliable service, but EasyMLS does not guarantee uninterrupted, error-free, secure, or continuous access.

The platform may experience:

EasyMLS may perform maintenance with or without notice.

EasyMLS may modify, suspend, discontinue, replace, limit, remove, or restrict any feature, service, portal integration, AI tool, MLS feature, Charter MLS feature, import tool, export tool, API, subscription plan, or platform function at any time.

Beta, experimental, preview, or early-access features are provided "as is," may be incomplete or unreliable, and may be modified or discontinued at any time.

19. No Guarantees

EasyMLS does not guarantee:

Your results depend on many external factors outside EasyMLS's control.

20. Warranty Disclaimer

EasyMLS is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, EasyMLS disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

EasyMLS does not warrant that the platform, listings, AI outputs, third-party integrations, portal distribution, MLS features, Charter MLS features, APIs, or related services will be accurate, complete, secure, uninterrupted, available, or error-free.

21. Limitation of Liability

To the maximum extent permitted by law, EasyMLS will not be liable for:

EasyMLS's total liability for any claim arising out of or relating to these Terms, the platform, or the services will not exceed the amount paid by you to EasyMLS during the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

22. Indemnification

You agree to defend, indemnify, and hold harmless EasyMLS, its owners, officers, employees, contractors, service providers, vendors, affiliates, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

EasyMLS reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with EasyMLS in defending such claims.

23. Account Suspension and Termination

EasyMLS may suspend, restrict, or terminate your account, listings, subscription, EasyMLS Verified status, or access to platform features if EasyMLS believes that:

You may request account deletion or cancel your subscription as described in the platform or by contacting EasyMLS.

Account deletion or termination does not relieve you of payment obligations incurred before deletion or termination.

After termination, EasyMLS may remove your listings from active display and may retain records as described in these Terms and the Privacy Policy.

24. Third-Party Services and Links

EasyMLS may interact with, integrate with, link to, or rely on third-party services, including:

Third-party services are governed by their own terms, policies, practices, fees, and limitations.

EasyMLS is not responsible for third-party services, third-party content, third-party fees, third-party outages, third-party errors, third-party security incidents, third-party decisions, or third-party privacy practices.

25. Takedown Requests and Complaints

If you believe that content on EasyMLS has been posted, imported, copied, distributed, or used without authorization, you may contact EasyMLS at:

Your request should include enough information for EasyMLS to review the issue, such as:

EasyMLS may remove, disable, restrict, or investigate content at its discretion.

EasyMLS may suspend listings, restrict accounts, revoke EasyMLS Verified status, or terminate users in response to credible complaints or suspected misuse.

26. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Unless otherwise required by law or agreed in writing, disputes arising out of or relating to these Terms, EasyMLS, or the services will be handled in the state or federal courts located in Miami-Dade County, Florida.

You consent to the personal jurisdiction and venue of those courts.

27. Changes to These Terms

EasyMLS may update these Terms from time to time.

Updated Terms may be posted on the EasyMLS website, platform, or dashboard.

EasyMLS is not required to provide individual notice of every update unless required by law.

Your continued use of EasyMLS after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using EasyMLS.

28. Miscellaneous

These Terms, together with the EasyMLS Privacy Policy and any additional terms presented by EasyMLS for specific services, form the agreement between you and EasyMLS regarding your use of the platform.

If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect.

EasyMLS's failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

You may not assign or transfer your rights or obligations under these Terms without EasyMLS's prior written consent.

EasyMLS may assign or transfer its rights and obligations in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or similar transaction.
